Terms and Conditions of Service

Introduction: Please read these Terms and Conditions ("Terms") carefully before using any services or products of Zamakan Creative Services LLC. Your continued use of our platforms, communication with us, contracting with us, or submission of your data as a vendor constitutes your explicit and irrevocable agreement to all the terms below.

1. Definitions

1. The Company: Refers to "Zamakan Creative Services LLC" and all its branches, employees, and business activities in the Sultanate of Oman and abroad.
2. The Client: Any individual, legal entity, or institution that engages with the Company for media production, marketing, consulting, or any other service provided by the Company.
3. The Vendor: Any natural or legal person, company, or institution that provides services or products to the Company to execute or support its projects or operational processes, whether directly or indirectly.
4. The Services: All creative, production, marketing, media, event management, advertising campaigns, photography, design, influencer management, or any other services currently or prospectively offered by the Company.
5. The Data: Includes, but is not limited to, personal information, company data, official documents, financial information, and addresses provided by the Client or Vendor.

2. Data Accuracy and Full Responsibility

2.1 Acknowledgment of Data Accuracy

The Client or Vendor (hereinafter referred to as "the Second Party") fully and finally declares that all data, documents, and information submitted to the Company, whether through electronic forms, email, or any other means, are correct, complete, accurate, and up-to-date, reflecting the actual legal and financial status of the Second Party. This declaration is the basis of any dealing between the two parties.

2.2 Absolute Liability for Incorrect Data

The Second Party alone bears full legal, financial, and ethical responsibility for any direct or indirect damage, claim, loss, or costs (including legal fees) arising from the submission of incorrect, misleading, incomplete, expired, or outdated data or documents. Accordingly:

• Indemnification: The Second Party is obligated to fully indemnify the Company for any financial losses or reputational damage resulting from the Company's reliance on this incorrect data in its operations, including but not limited to, incorrect payments, tax issues, or disputes with third parties.
• Release of Liability: The Second Party releases the Company, its employees, and directors from any liability or obligation towards any third party (including government agencies, banks, or the Company's clients) due to any error resulting from the incorrect data provided.

2.3 The Company's Right to Verify and Take Action

The Company reserves the right, but not the obligation, to verify the accuracy of the provided data by any means it deems appropriate. The Company also has the right, without prior notice, to refuse, suspend, or cancel any transaction, contract, project, or payment process if it is proven that incorrect data was submitted or if there are reasonable doubts about its accuracy.

3. Contracts and Agreements

Any transaction, project, or agreement with the Company must be documented by a formal contract, written agreement, or an approved quotation that specifies the terms for each project, including: scope of work, timeline, payment mechanism, rights and obligations, intellectual property, and terms of cancellation or modification. In case of a conflict between these general terms and any specific contract, the terms of the specific contract shall prevail for the project concerned only.

4. Intellectual Property

All intellectual property rights (including copyrights, trademarks, and trade secrets) for any creative work, plan, or content produced by the Company (such as designs, videos, photos, texts, logos, strategies) are the exclusive property of Zamakan Creative Services LLC, unless explicitly stated otherwise in writing in the contract to transfer this ownership to the client. The client or vendor may not use, reproduce, or distribute any of the Company's works without official and prior written permission.

5. Vendor Obligations

The Vendor is committed to performing the assigned work to the highest agreed-upon standards of quality and professionalism, and within the specified timelines. The Vendor also commits to full compliance with all applicable laws and regulations in the Sultanate of Oman. In the event of any damage, loss, or claim due to an error, negligence, omission, or submission of incorrect data by the Vendor, the Vendor alone shall bear full responsibility and resulting compensation towards the Company or any affected third party.

6. Limitation of Liability

The Company shall not be liable for any damage or loss (including loss of profits or business interruption) resulting from force majeure or circumstances beyond its reasonable control, such as: natural disasters, pandemics, wars, strikes, major technical failures in communication or internet networks, or any sudden government decisions. In all cases, the maximum financial liability of the Company towards the Client or Vendor shall not exceed the value of the amount paid for the service or product in dispute only.

7. Privacy and Confidentiality

The Company is committed to protecting the confidentiality and privacy of all client and vendor data. The Company will not share this data with any third party except in the following cases: (a) if necessary to carry out the project (such as sharing vendor data with the production team), (b) with the explicit consent of the data owner, or (c) in compliance with a court order or a request from a competent government authority.

8. Amendments and Updates

The Company reserves the absolute right to amend, update, or change these Terms at any time it deems appropriate without prior notice. The updated version will be published on our official platforms. Your continued use of our services or dealing with us after any amendment constitutes your implicit and explicit agreement to the new Terms.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws and regulations in force in the Sultanate of Oman. In the event of any dispute, the parties shall seek to resolve it amicably within a period of (30) days. If an amicable solution cannot be reached, the exclusive jurisdiction shall be the courts of Muscat in the Sultanate of Oman.

10. Consent and Acknowledgment

By using any service of Zamakan Creative Services LLC, or by submitting your data through any platform affiliated with the Company (including the vendor registration form), you acknowledge that you have read, understood, and fully and finally agreed to all the terms and conditions contained in this document, and that you are legally bound by them.
